ASCI streamlines its election process
ASCI has issued fresh set of rules framed by the Board of Governors for the conduct of elections. These rules shall complement those already stated in the Memorandum and Articles of Association and be subject to them
The Advertising Standards Council of India (ASCI) has issued fresh set of rules framed by the Board of Governors for the conduct of elections. These rules shall complement those already stated in the Memorandum and Articles of Association and be subject to them.
As per the rules, the Board of Governors shall, every year, appoint a Directors Election Supervisory Committee of two of or more members, of whom at least one shall be a member of the Board, to supervise and be in overall charge of the conduct of elections. The member, or members, so appointed shall not be a candidate for election in the year.
In anticipation of the Annual General Meeting (AGM) and in pursuance of Article 6(a) (b) and (c) of the Articles of Association, the Board or under its advice, the Committee, shall at the appropriate time each year issue a circular to all members of the Council requesting them to nominate and submit to the Council within the specified days, the names of any nominated representatives of members of the ASCI, who will be willing to accept office if elected as a member of the Board of Governors, along with written consent of the representatives so nominated, to serve on the Board of the ASCI, if elected.
The Committee will scrutinise all nominations to ensure due compliance with all requirements before being included in the final list.
All nominations, including those which have been found invalid, shall be brought to the notice of the Board of Governors at the meeting of the Board immediately following the last date for such receipt. For each invalid nomination, the Committee will state the reason why it is invalid. All nominations approved by the Board shall be circulated to the membership, together with the notice of the AGM.
At the time of the AGM and in the event of elections being necessary in any category, the Chairman of the meeting shall appoint two or more persons, not being members of the Board or a member contesting the election, to be scrutineer (s). These scrutineers shall authenticate the ballot papers and issue them one each to such member’s representatives who are present and eligible to vote.
In the event of an error in marking consent for the candidate of choice, a request may be made to the scrutineer for issue of a fresh authenticated ballot paper. This request from a member must be accompanied by a return of the first authenticated paper issued.
The voting shall be by secret ballot. At the conclusion of the voting, the votes shall be counted by the scrutineers.
Members’ representatives can file their complaints, if any, pertaining to the conduct of elections to the scrutineer(s) before the declaration of the results. The decision of the scrutineers will be final on such complaint, unless it is a matter pertaining to the eligibility to vote, in which case it will be decided by the Directors present who are not subject to election at such meeting.
In the event of there being an equal number of votes in favour of two candidates in a category, the election in respect of the two shall be determined by lot drawn by the scrutineer (s) in the presence of the Chairman of the meeting.
The scrutineer (s) shall present the results of the election to the Chairman of the meeting and the same shall be announced by the Chairman before the AGM comes to a close.
